Canadian Pacific Railway Limited (“CP”) and Kansas City Southern (“KCS”) announced they have entered into a merger agreement, under which CP has agreed to acquire KCS in a stock and cash transaction representing an enterprise value of approximately USD$29 billion, which includes the assumption of $3.8 billion of outstanding KCS debt. The transaction, which has the unanimous support of both boards of directors, values KCS at $275 per share, representing a 23% premium, based on the CP and KCS closing prices on March 19, 2021 (and $270 per share, representing a 26% premium3, based on the respective CP and KCS 30-day volume weighted average prices (“VWAP”)).

Metso Outotec receives Order for a Mine Conveyor System in South America
Metso Outotec has received an order for a heavy-duty mine conveyor system in South America. The delivery consists of high reliability overland conveyors, including a 2-km single flight conveyor. Equipment provided in this package runs at speeds of up to 6 m/s with a delivery capacity of over 9,000 t/h. The order value is approximately EUR 10 million and it has been booked in Minerals’ Q1/2021 orders received.

Cimic's Sedgman and CPB Contractors secure $100m in Project Wins
Cimic Group’s minerals processing company, Sedgman, and construction company CPB Contractors, have further extended their presence in Queensland with the award of contracts totalling approximately $100 million in revenue.
The projects are:
- a contract awarded by QCoal to Sedgman to design and construct a tailings dewatering facility at the Byerwen mine in Central Queensland. The project results in a lower operational risk profile, less power usage, and improved water recovery and management of dewatering chemicals.
- a contract awarded by the Queensland government to Broad Construction, a wholly owned subsidiary of CPB Contractors, to deliver stage two of the Yarrabilba State Secondary College. The educational facilities to be delivered include senior general learning spaces, a senior applied technology centre, art and design centre and performing arts centre.
Cimic Group Executive Chairman and Chief Executive Officer Juan Santamaria said: “Cimic Group’s companies have a strong history of delivering consistent outcomes in Queensland. We are pleased to continue our long-standing relationships with QCoal to deliver safe and efficient solutions for the industry; and with the Queensland Department of Education to deliver high-quality assets of lasting value that will benefit the local community.”
Sedgman Managing Director Grant Fraser said: “We are pleased to continue working with QCoal with a key focus on reducing impacts and undertaking environmentally responsible practices. The tailings dewatering contract at Byerwen is a great opportunity to achieve joint goals in ESG, an important focus for the industry.”
CPB Contractors Managing Director Jason Spears said: “Broad worked closely with the Department of Education to deliver stage one of the Yarrabilba State Secondary College. The team will build on this outstanding result to safely deliver the additional school facilities for the local community.”
Construction work for the Byerwen mine will commence this month and the project will conclude in mid-2022. The Yarrabilba State Secondary College will be completed during 2022.
