Bilfinger confirms that the Supervisory Board is currently holding talks with candidates for the positions of Chairman of the Executive Board and Chief Financial Officer.

On January 11, 2015 Dr. h.c. Bernhard Walter, long-serving Chairman of the Supervisory Board at Bilfinger SE, passed away at the age of 72. Bernhard Walter was elected to the Supervisory Board of Bilfinger SE in 1998. He was Chairman of the committee from 2006 until he stepped down in November 2014.

Am 11. Januar 2015 ist Dr. h.c. Bernhard Walter, langjähriger Aufsichtsratsvorsitzender der Bilfinger SE, im Alter von 72 Jahren verstorben. Bernhard Walter wurde 1998 in den Aufsichtsrat der Bilfinger SE berufen. Von 2006 bis zu seinem Ausscheiden im November 2014 war er Vorsitzender des Gremiums.

Der Engineering- und Servicekonzern Bilfinger trennt sich wie beabsichtigt von wesentlichen Teilen seines Ingenieurbaugeschäfts: Das führende Schweizer Bau- und Baudienstleistungsunternehmen Implenia erwirbt die in Deutschland und im europäischen Ausland tätige Division Construction. Sie beschäftigt knapp 1.900 Mitarbeiter und erbringt im Jahr 2014 ein Leistungsvolumen von rund 600 Mio. €. Die Transaktion bedarf der Zustimmung deutscher und ausländischer Kartellbehörden, mit einem Abschluss ist im ersten Quartal 2015 zu rechnen.

The engineering and services group Bilfinger is, as planned, parting with significant portions of its civil engineering business: the leading Swiss construction and construction services company Implenia will acquire the Construction division, which is active in Germany and other European countries. The company employs nearly 1,900 people and in 2014 will generate an output volume of about €600 million. The transaction is subject to approval from German and international anti-trust authorities and completion is expected in the first quarter of 2015.

At its meeting on November 11, 2014, the Supervisory Board of Bilfinger SE elected Dr. Eckhard Cordes (64), Partner at Cevian Capital, as Chairman.

An analysis of the current business situation of each division by the Executive Board of Bilfinger SE in the third quarter of 2014 has shown that a fundamental reassessment of the situation is required in the Power business segment due to the difficult market environment. Significantly worsened demand – particularly in Germany and other European countries – has led not only to reduced earnings expectations for 2014 but also to a significant adjustment to earnings forecasts for the years to follow. This triggered an impairment test of goodwill in the divisions of the Power business segment and resulted in an impairment loss of €148 million.

Eine Analyse der aktuellen Geschäftslage der einzelnen Divisionen durch den Vorstand der Bilfinger SE im dritten Quartal 2014 hat ergeben, dass im Geschäftsfeld Power infolge des schwierigen Marktumfelds eine grundlegende Neubewertung der Situation erforderlich ist. Die erheblich verschlechterte Nachfrage – insbesondere in Deutschland und weiteren europäischen Ländern – führte nicht nur zu einer reduzierten Ergebniserwartung für 2014, sondern auch zu einer deutlichen Anpassung der Ergebnisaussichten für die folgenden Geschäftsjahre. Die daher notwendig gewordene außerplanmäßige Überprüfung der Werthaltigkeit der Geschäfts- und Firmenwerte (Impairment Test) der Divisionen im Geschäftsfeld Power hat eine Wertminderung in Höhe von 148 Mio. € zur Folge.

Herbert Bodner, Chief Executive Officer at Bilfinger SE, informed the Supervisory Board that he is no longer available to serve as Chairman of the Supervisory Board as had originally been planned.

In Sweden, the engineering and services group Bilfinger will in future be responsible for the maintenance of Finnish utility Fortum's entire portfolio of hydroelectric power plants. The new framework agreement covers technical management of 125 power plants with more than 250 dams. The agreement also calls for the transfer of 200 Fortum employees to Bilfinger. The parties have agreed to keep the volume of the service agreement confidential. The contract will run over a term of three years with an option to extend it by an initial two years.

Bilfinger, the engineering and services group, has won two orders in Romania and Norway with a total volume of over €90 million. The largest German provider of industrial services has thus strengthened its position in Eastern Europe and bolstered its position as market leader in Scandinavia.

Nach dem im August 2014 erfolgten Wechsel im Vorstandsvorsitz hat der Vorstand der Bilfinger SE die aktuelle Geschäftslage in den einzelnen Divisionen noch einmal analysiert sowie die jeweiligen Chancen und Risiken bewertet.

Der Engineering- und Servicekonzern Bilfinger hat einen Auftrag über die Installation von insgesamt 72 Fundamenten des neuen Offshore-Windparks Sandbank erhalten. Sandbank wird durch die Partner Vattenfall (51 Prozent) und Stadtwerke München (49 Prozent) realisiert. Die Gründungselemente werden 90 Kilometer westlich von Sylt in der deutschen Nordsee mithilfe eines Installationsschiffs in bis zu 34 Meter Wassertiefe in den Meeresboden eingebaut. Der Vertrag hat ein Volumen von mehr als 100 Mio. €, die Arbeiten haben begonnen und dauern bis Februar 2016.

The engineering and services group Bilfinger has won an order for the installation of a total of 72 foundations for the new Sandbank Offshore Windpark. Sandbank is a joint partnership of Vattenfall (51 percent) and the city of Munich's public utility company (49 percent). The foundation elements will be installed in the seabed with the help of an installation ship in waters that are up to 34 meters deep and 90 kilometers west of Sylt in the German North Sea. The contract has a volume of more than €100 million. Work has already begun and will continue until February 2016.

Bilfinger is currently faced with a difficult economic environment in the energy market and in the European oil and gas sector. Against this backdrop and as a result of additional project burdens, the company’s business development did not meet expectations in the first half of 2014, as previously announced at the end of June.
